La 'postuma decennale' può essere attivata dall'acquirente - Cass. 27 gennaio 2025, n. 1909


Il costruttore che vende un immobile da costruire a persona fisica deve rilasciare, al rogito, una polizza assicurativa decennale postuma, con effetto dalla data di ultimazione dei lavori, a copertura dei danni materiali e diretti all'immobile venduto, compresi i danni ai terzi, derivanti da rovina totale o parziale oppure da gravi difetti costruttivi delle opere, per vizio del suolo o per difetto della costruzione (art. 1669 c.c.), manifestatisi successivamente alla stipula del contratto definitivo di compravendita o di assegnazione (art. 4 del D.Lgs. n. 122/2005). Ci si è chiesti se il contratto deve essere qualificato come assicurazione della responsabilità civile o contro i danni per conto di chi spetta (art. 1891 c.c.). La qualificazione non è accademica, perché la polizza RC potrebbe essere fatta valere solo dal costruttore, salvo diversa pattuizione, quella per conto di chi spetta consentirebbe invece all’acquirente di azionare direttamente nei confronti dell'assicuratore i diritti derivanti dal contratto, pur non essendone parte (Cass. 20/12/2017, n. 30653; Cass. 9/12/2024, n. 31686). Ed è quest’ultima l’opzione interpretativa preferita dalla Cassazione con la decisione del 25 gennaio, perché la norma “trova fondamento nella realizzazione dell' "equa" ed "adeguata" tutela dei diritti patrimoniali degli acquirenti di immobili da costruire, e “correlandosi all'esigenza di tutela della parte debole dell'atto di trasferimento dell'immobile costruendo, evidenzia la sussistenza di un cospirante interesse lato sensu sociale - o comunque superindividuale - alla stipulazione, che permea di sé la causa del contratto”. La norma tutela cioè interessi generali incidenti sulla libera contrattazione delle parti, che al massimo potrebbero “prevedere una legittimazione concorrente del costruttore-contraente a far valere i diritti derivanti della polizza ma mai spingersi ad escludere la legittimazione, piena e primaria, dell'acquirente-assicurato.” L’acquirente potrà quindi attivare direttamente l’assicurazione e chiederle il pagamento, evitando così di vedersi eccepire la prescrizione, come nel caso all’esame della cassazione, o veder evaporare la somma se, transitando sul conto del costruttore, sia poi aggredita dai suoi creditori.
