AUMENTI DI CAPITALE A MAGGIORANZA SEMPLICE FINO A GIUGNO 2021


L'articolo 44 del Dl 16 luglio 2020 n. 76 (Dl Semplificazioni) convertito con modifiche in legge 120/2020, ha modificato alcune norme che Codice civile dedicate al tema dell'aumento del capitale sociale delle società. Per le Spa, in deroga ai quorum (deliberativi e costitutivi) prescritti dal Codice civile e dallo Statuto per le assemblee, fino al 30 giugno 2021 potranno essere approvate con il voto favorevole della maggioranza del capitale rappresentato in assemblea, a condizione che sia rappresentata almeno la metà del capitale sociale, le deliberazioni aventi a oggetto gli aumenti del capitale sociale o l'introduzione nello statuto della delega agli amministratori ad aumentare il capitale sociale. La predetta norma transitoria si applica anche alle società a responsabilità limitata. Sempre con effetti fino alla data del 30 giugno 2021, è infine previsto che le società con azioni quotate in mercati regolamentati (o negoziate in sistemi multilaterali di negoziazione) potranno deliberare l'aumento del capitale sociale mediante nuovi conferimenti, con esclusione del diritto di opzione, ai sensi del comma 4 (secondo periodo) dell'articolo 2441, del Codice civile, anche in mancanza di espressa previsione statutaria, nei limiti del 20% del capitale sociale preesistente.

  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
