OMESSA CONVOCAZIONE DEL SOCIO - DELIBERA ASSEMBLEARE NULLA


Nel disciplinare l'assemblea dei soci della SRL, il legislatore ha posto come cardini imprescindibili per la corretta formazione della volontà sociale deliberativa due elementi, e cioè la informazione preventiva dei soci in merito all'avvio del procedimento deliberativo e l'informazione sugli argomenti da trattare, ed ha sanzionato con la nullità l'inosservanza di tali prescrizioni. In proposito giova ricordare che le Sezioni Unite, affrontando il tema della invalidità delle delibere assembleari di SRL per difetti concernenti la convocazione, hanno chiarito, per quanto interessa il presente giudizio, che la convocazione non solo deve essere spedita anteriormente, ma deve, comunque essere ricevuta prima della assemblea di modo da consentire un consapevole esercizio del potere deliberativo (Cass. Sez. Unite 23218 del 14/10/2013). Ulteriore conferma si ritrae, infine, proprio dall'art.2479 ter, primo comma, cod. civ., in quanto la facoltà di impugnazione nel termine breve è attribuita ai soci che non hanno consentito alla deliberazione, ossia ai soci assenti, astenuti e, naturalmente, a quelli dissenzienti, tra i quali non è possibile far rientrare i soci non avvisati, poiché la loro mancata comparizione non può assumere la veste di una sciente assenza, né ancor meno di una forma di astensione o di dissenso.   • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
