La valutazione d'azienda nelle crisi e nelle situazioni di insolvenza


La valutazione delle imprese in crisi si caratterizza per la particolare complessità, riconducibile essenzialmente a tre ragioni: i metodi di valutazione tradizionali soffrono di gravi limiti che li rendono difficilmente applicabili; ciascuna situazione di crisi presenta specificità tali da rendere difficile (se non impossibile) identificare regole generali; mancano riferimenti o best practice. Ne deriva una eccessiva discrezionalità ed una conseguente ridotta affidabilità delle stime. Se ne trova riscontro nell'elevata dispersione fra stime compiute da soggetti diversi con riguardo alla medesima attività e nelle differenze rilevanti fra i valori di mercato o di liquidazione stimati ed i prezzi effettivamente realizzati. Nell'interessante articolo LE VALUTAZIONI NELLE CRISI E NELLE SITUAZIONI DI INSOLVENZA DELLE IMPRESE pubblicato sul Volume 1 luglio 2019 della rivista telematica La Valutazione delle Aziende il Prof. Mauro Bini evidenzia la necessità di definire percorsi di analisi condivisi nell'affrontare le difficoltà proprie di una valutazione di aziende (o di attività relative ad aziende) in stato di difficoltà (c.d. inherent risk) e nel minimizzare il rischio valutativo (c.d. valuation risk), anticipando i principali step del percorso di analisi suggeriti dal Documento OIV in corso di elaborazione. La Valutazione delle Aziende è un e-journal edito dalla Fondazione OIV con il contributo del CNDCEC. Obiettivo della Rivista è ospitare articoli su aspetti problematici relativi alla valutazione delle aziende, di partecipazioni, di bene immateriali per qualunque finalità o scopo.

The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
