LA SOSTENIBILITà NELLE ASSEMBLEE SOCIETARIE (PAPER DI BANKITALIA)


Banca d’Italia ha pubblicato il paper “La sostenibilità nelle assemblee societarie in Francia, Germania e Italia” che indaga se e con quali modalità gli aspetti di sostenibilità ambientale, sociale e di governo societario (Environmental, Social and Governance, ESG) siano stati affrontati nelle assemblee svolte nel 2021 e nel 2022 dalle principali società quotate non finanziarie con sede in Francia, Germania e Italia. L’esame ha riguardato i testi assembleari al fine di individuare le domande, le richieste di integrazione dell’ordine del giorno e le controproposte (forum right) sollevate dagli azionisti, nonché le risposte fornite dalle società. L’analisi per il 2021 ha preso in esame l’intero campione di società, mentre per il 2022 si è concentrata sulle imprese dei settori maggiormente esposti al rischio di transizione climatica e agli effetti delle tensioni geopolitiche sull’offerta di energia. I fattori ESG sono emersi in tutte le assemblee dei tre principali Paesi dell’area dell’euro, seppure con accenti differenziati; gli interventi degli azionisti hanno riguardato principalmente la politica ambientale della società, compresi i piani di transizione, l’allineamento agli accordi internazionali sul clima e gli effetti delle attività aziendali sull’ambiente. Per gli aspetti sociali, l’attenzione si è concentrata soprattutto sulla parità di genere, sul rispetto dei diritti umani, sulla tutela delle condizioni di salute e salariali. Per il governo societario è stato ricorrente l’interesse per il rispetto della parità di genere negli organi di gestione e per le modalità di svolgimento dell’assemblea.
