LA CESSIONE DEL DIRITTO DI OPZIONE SCONTA L'IMPOSTA DI REGISTRO AL 3%


L'esigenza di tenere inalterato il valore reale della partecipazione azionaria denota il contenuto patrimoniale dell'operazione, con conseguente tassazione in misura proporzionale. In tema d'imposta di registro, l'atto di cessione del diritto di opzione attribuito ai soci ex articolo 2441 del codice civile, in caso di mancato esercizio dello stesso da parte del cessionario, è sottoposto all'aliquota proporzionale del 3% di cui all'articolo 9, tariffa parte I, allegata al Dpr 131/1986 e non a quella fissa contemplata dall'articolo 11 della stessa tabella, posto che, in tale ipotesi, non può parlarsi strictu sensu di negoziazione di partecipazioni societarie.   • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
