SRLS: INDEROGABILE L'UTILIZZO DEL MODELLO STANDARD EX D.M. N. 138/2012 ANCHE DOPO LE SUCCESSIVE MODIFICHE INTERVENUTE SULL'ART. 2463-BIS C.C.


Non può essere accolta la domanda di iscrizione nel Registro imprese dell'atto costitutivo di una società a responsabilità limitata semplificata (SRLS) se non redatto in conformità al modello standard, adottato ai sensi del 2° comma dell'art. 2463-bis C.C. ed approvato con il Decreto interministeriale n. 138 del 23 giugno 2012. Lo ha ribadito il Ministero dello Sviluppo Economico con una Nota del 20 dicembre 2016, Prot. 0404857, divulgata solo ora da alcuni siti ma, inspiegabilmente, non da quello del Ministero. Considerato che dopo l'approvazione del ''modello standard", con l'art. 9, comma 13, del D.L. 28 giugno 2013, n. 76, convertito dalla L. 9 agosto 2013, n. 99, sono state apportate modifiche all'art. 2463-bis C.C., si è posto il problema se lo stesso potesse continuare ad essere utilizzato dai notai in sede di redazione dell'atto e statuto delle società in parola. Il Ministero ricorda che, a tale riguardo è già intervento il Ministero della Giustizia con Nota dell'11 settembre 2013, Prot. 118972, successivamente integrata con Nota del 16 settembre 2013, Prot. 121532 in cui, rispondendo ad un quesito del Consiglio Nazionale del Notariato (CNN), ha chiarito che, pur non apparendo più completamente armonico con il disposto della norma primaria (costituita dall'art. 2463 bis c.c.), l'utilizzo del "modello standard" rimane inderogabile. Nella nota si condivide pertanto la soluzione prospettata dal CNN della soppressione dal modello standard tipizzato delle clausole sub 4 e sub 5, in quanto, a seguito delle modifiche apportate all'art. 2463-bis C.C. dal menzionato D.L. n. 76/2013, il requisito anagrafico è stato abolito e l'amministratore può essere nominato anche fra un non socio.   • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
