Dai driver di valore alle previsioni finanziarie: la quantificazione degli ESG


L’ultimo miglio della valutazione d’azienda consiste nella traduzione delle evidenze strategiche in cifre economiche e finanziarie.È qui che il documento del CNDCEC fornisce i contributi più innovativi, declinando le ultime tre fasi del principio PIV III.1.2 in chiave ESG. Il passaggio dai concetti qualitativi di sostenibilità alla determinazione del valore richiede un rigore analitico che non lasci spazio ad astrazioni.   Analisi contabile e driver di valore ESG La terza fase dell’analisi fondamentale prevede l’esame della documentazione contabile e gestionale per individuare l’evoluzione dei "driver di valore". Nel contesto attuale, i driver tradizionali (crescita del fatturato, margini operativi, rotazione del capitale) sono profondamente influenzati dai fattori ESG. Il valutatore deve saper leggere tra le pieghe del bilancio: Marginalità (E/S): gli investimenti in efficienza energetica riducono i costi operativi nel medio periodo? Le politiche di welfare aziendale riducono il turnover e i costi di formazione? Capex (E): gli investimenti in beni strumentali sono conformi ai nuovi standard ambientali o rischiano di diventare "stranded assets" (attività che perdono valore prematuramente) Rischio (G): la struttura di governance garantisce un controllo dei rischi efficace, evitando sanzioni o crisi reputazionali?   Le previsioni economiche e finanziarie La quarta fase dell’analisi fondamentale riguarda le proiezioni dei flussi futuri.  Qui la sostenibilità entra direttamente nei business plan. Il documento del Consiglio Nazionale invita il valutatore a verificare se le previsioni finanziarie siano coerenti con le scelte strategiche dichiarate in ambito ESG. Non si può ipotizzare una crescita costante dei volumi senza considerare le limitazioni ambientali o i cambiamenti nelle preferenze dei consumatori, sempre più orientati verso prodotti sostenibili. Le previsioni devono dunque incorporare gli effetti dei processi aziendali "green" sia in termini di ricavi (maggior "willingness to pay" dei clienti) sia di flussi in uscita (investimenti necessari per la transizione).   Scenario economico e mercato dei capitali L’ultima fase (punto 5 del PIV III.1.2) riguarda l’analisi dei tassi e dei dati di mercato.  È un fatto assodato che il costo del capitale (WACC) sia oggi influenzato dal profilo ESG dell'emittente. Le banche e gli investitori istituzionali applicano condizioni di finanziamento più favorevoli (i cosiddetti "sustainability-linked loans") alle aziende che dimostrano performance di sostenibilità misurabili. Il valutatore, analizzando società confrontabili, deve considerare se i multipli di mercato riflettano già un premio per la sostenibilità o uno sconto per i rischi ESG. Inoltre, l'utilizzo di dati derivanti dai giudizi degli analisti finanziari (ove disponibili) diventa fondamentale per allineare la valutazione alle attese del mercato dei capitali.   Conclusioni: verso una valutazione integrata Il documento del CNDCEC chiarisce definitivamente come la valutazione d’azienda nell’era della sostenibilità richieda una competenza multidisciplinare.  Integrare i fattori ESG non significa aggiungere un capitolo descrittivo alla relazione, ma riscrivere l'intero processo di analisi fondamentale. Dall’analisi dei dati macroeconomici alla definizione dei tassi di attualizzazione, ogni passaggio deve essere "filtrato" attraverso la lente della sostenibilità. Solo così il valutatore potrà assolvere alla sua funzione di garante di un valore che sia, al contempo, economicamente solido e socialmente responsabile.
