Nel mondo del business, il "cinquanta-cinquanta" viene spesso presentato come l'apoteosi della democrazia societaria. È il patto tra gentiluomini per eccellenza: due soci, pari dignità, pari capitale, pari rischio. Tuttavia, ciò che sulla carta appare come un matrimonio idilliaco, nella pratica economica si rivela spesso una trappola strutturale.L’attrattiva iniziale è evidente. Dividere equamente il controllo mitiga il timore di essere prevaricati. Eppure, questa architettura ignora una legge fondamentale della fisica aziendale: per muoversi, una società ha bisogno di un vettore risultante, non di due forze uguali e contrarie che si annullano.  Il rischio è il deadlock, o stallo decisionale. Quando i due soci non concordano su una scelta strategica, che sia l’approvazione di un bilancio, un investimento o la nomina di un amministratore, l’azienda si ferma. In un mercato che corre a velocità folli, lo stallo non è solo un fastidio burocratico: è un prosciugamento di valore. Una società bloccata perde opportunità, vede degradare il clima aziendale e rischia la paralisi operativa.  Ma allora perché si continua a scegliere questo modello? Spesso per pigrizia contrattuale o per un eccesso di ottimismo (la cosiddetta affectio societatis).  Ma la buona gestione non si basa sulle speranze, bensì sulla previsione del conflitto. È compito del consulente sollecitare una riflessione tra i due soci, fin dalla fase costitutiva della società.

The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
