REGISTRO TITOLARI EFFETTIVI: NOVITà DEL DECRETO 210/2025


Con la pubblicazione in Gazzetta Ufficiale (n. 5 dell?"8 gennaio 2026) del D.Lgs. 31 dicembre 2025, n. 210, il legislatore italiano recepisce formalmente l?"articolo 74 della Direttiva (UE) 2024/1640. La principale novità del Decreto 210/2025, in vigore dal 9 gennaio 2026, risiede nella modifica dell?"articolo 21 del D.Lgs. 231/2007 che prevede la riapertura, seppur condizionata, del Registro dei Titolari Effettivi ai soggetti privati “qualificati”. Per poter consultare i dati sulla titolarità effettiva di società, persone giuridiche private e trust, il privato cittadino o l?"ente esponenziale deve ora superare una triplice barriera probatoria: Interesse giuridico rilevante: l?"interesse deve essere diretto, concreto, attuale e differenziato. Non sono ammesse “spedizioni di pesca” (fishing expeditions) per scopi puramente curiosi o commerciali Necessità difensiva: il richiedente deve dimostrare che l?"accesso a tali dati è indispensabile per curare o difendere una situazione giuridicamente tutelata. Prove di discrepanza: è necessario produrre “evidenze concrete e documentate” che attestino una possibile divergenza tra la titolarità legale (chi appare formalmente) e la titolarità effettiva (chi esercita il controllo ultimo). Il decreto chiarisce che anche le associazioni di categoria e le organizzazioni non profit possono accedere al Registro, ma l?"interesse deve essere autonomo e collettivo. In altre parole, l?"associazione non può agire come semplice “prestanome” per le ricerche dei propri associati, ma deve far valere un interesse che appartiene all?"ente in quanto rappresentante di una categoria diffusa. Per intermediari obbligati, professionisti e soggetti vigilati ai fini AML, la novità non modifica il perimetro degli obblighi di adeguata verifica, ma ridefinisce il contesto di cooperazione con soggetti privati che intendano attivarsi su specifiche situazioni di opacità proprietaria. Per questi soggetti si apre quindi una via di accesso “contenziosa” o para-contenziosa al Registro, con la necessità di produrre dossier probatori strutturati a supporto dell?"istanza.

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
