DIPENDENTE CON CARICA DI AMMINISTRATORE: QUANDO è INCOMPATIBILE


La legge non vieta espressamente il cumulo, in carico a una stessa persona, della carica di amministratore e della posizione di lavoratore dipendente di una stessa società di capitali. Le due qualifiche possono infatti coesistere, ma a condizione che non venga meno la soggezione del dipendente al potere direttivo, di controllo e disciplinare di un datore di lavoro terzo e che si accerti l?"attribuzione di mansioni al dipendente diverse da quelle proprie della carica sociale dell?"amministratore. Per per la carica di amministratore unico di società è evidente l?"incompatibilità con la qualità di lavoratore subordinato della stessa, per i casi in cui la società è amministrata da un Consiglio di Amministrazione, il tema è controverso ed ha generato molto contenzioso con i conseguenti orientamenti giurisprudenziali. Recentemente, la Corte di Cassazione, Sezione tributaria (ordinanza n. 5318 del 28 febbraio 2025) , ha enunciato questo principio “In tema di imposte sui redditi, sussiste l?"assoluta incompatibilità tra la qualità di lavoratore dipendente di una società di capitali e la carica di presidenza del consiglio di amministrazione o di amministratore unico della stessa. La compatibilità della qualità di socio amministratore, membro del consiglio di amministrazione di una società di capitali, con quella di lavoratore dipendente della stessa società, ai fini della deducibilità del relativo costo dal reddito di impresa, non deve essere verificata solo in via formale, con riferimento esclusivo allo statuto e alle delibere societarie, occorrendo invece accertare in concreto la sussistenza o meno del vincolo di subordinazione gerarchica, del potere direttivo e di quello disciplinare e, in particolare, lo svolgimento di mansioni diverse da quelle proprie della carica sociale rivestita” Il tema è delicato e richiede estrema cautela poiché potrebbe avere conseguenze negative anche sulla gestione previdenziale e sulla maturazione del diritto alla pensione.

  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
