CONCORDATO FALLIMENTARE CON TERZO ASSUNTORE E IMPOSTA DI REGISTRO: NUOVO ORIENTAMENTO DELLE ENTRATE


Chiarimenti in merito all'imposta di registro dovuta per il decreto di omologa del concordato fallimentare con terzo assuntore. Con Risoluzione n. 13 del 19 febbraio l'Agenzia delle Entrate chiarisce che all?"omologa del concordato fallimentare con terzo assuntore va applicata la tassazione prevista dall'articolo 21, comma 3, del Tur secondo cui "non sono soggetti ad imposta gli accolli di debiti ed oneri collegati ad altre disposizioni". L?"imposta di registro, quindi, è applicata in misura proporzionale su una base imponibile corrispondente al valore dei beni e dei diritti fallimentari trasferiti. L'Agenzia recepisce quindi il consolidato orientamento della Corte di cassazione e ritiene superati i chiarimenti forniti in materia con la Circolare n. 27/E del 2012. Le Entrate precisano inoltre che il decreto di omologa di un concordato fallimentare con intervento del terzo assuntore, disciplinato dall'articolo 124 e seguenti della Legge Fallimentare, deve essere ricondotto all'ambito applicativo dell'articolo 21, comma 3 del TUR, e quindi l'imposta proporzionale di registro troverà applicazione sui beni dell'attivo fallimentare, oggetto di trasferimento, identificato analiticamente nei singoli beni che lo compongono ed applicando per ciascuno di essi, in base alla relativa natura, l'imposta di registro prevista nella tariffa. Le stesse conclusioni valgono anche ai fini dell'imposta di registro alla procedura di concordato nella liquidazione giudiziale, disciplinato dal nuovo Codice della Crisi d'Impresa e dell'Insolvenza (articoli 240-253), in quanto tale istituto non presenta differenze sostanziali rispetto al previgente "concordato fallimentare".
