SOCIETà CANCELLATA DAL REGISTRO IMPRESE: I SOCI RISPONDONO DEI DEBITI?


Con Sentenza n. 3625 del 12 febbraio le Sezioni Unite civili di Cassazione si sono espresse in materia di responsabilità dei soci per il debito tributario dopo la cancellazione della società dal Registro Imprese, ed hanno pronunciato i seguenti principi di diritto: "Nella fattispecie di responsabilità dei soci limitatamente responsabili per il debito tributario della società estintasi per cancellazione dal registro delle imprese, il presupposto dell?"avvenuta riscossione di somme in base al bilancio finale di liquidazione, di cui al 3^ (già 2^) co. dell?"art. 2495 cod. civ., integra, oltre alla misura massima dell?"esposizione debitoria personale dei soci, una condizione dell?"azione attinente all?"interesse ad agire e non alla legittimazione ad causam dei soci stessi; questo presupposto, se contestato, deve conseguentemente essere provato dal Fisco che faccia valere, con la notificazione ai soci ex artt. 36 co. 5^ d.P.R. n. 602/73 e 60 d.P.R. 600/73 di apposito avviso di accertamento, la responsabilità in questione, fermo restando che l?"interesse ad agire dell?"Amministrazione finanziaria non è escluso per il solo fatto della mancata riscossione di somme in base al bilancio finale di liquidazione, potendo tale interesse radicarsi in altre evenienze, quali la sussistenza di beni e diritti che, per quanto non ricompresi in questo bilancio, si siano trasferiti ai soci, ovvero l?"escussione di garanzie; la verifica del presupposto dell?"avvenuta riscossione di somme in base al bilancio finale di liquidazione, concernendo un elemento che deve essere dedotto nella fase di accertamento da indirizzarsi direttamente nei confronti dei soci ex art. 36 co. 5^ d.P.R. n. 602/73, non può avere ingresso nel giudizio di impugnazione introdotto dalla società avverso l?"avviso di accertamento ad essa originariamente notificato, quand?"anche questo giudizio venga poi proseguito, a causa dell?"estinzione della società per cancellazione dal registro delle imprese, da o nei confronti dei soci quali successori della società stessa."   • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
