PREVENZIONE REATI CONTRO LA PA E REATI SOCIETARI NELLE MICRO E PICCOLE IMPRESE: MODELLO 231 SEMPLIFICATO


Nell’ambito di un Accordo di collaborazione istituzionale tra UNI – Ente Italiano di Normazione e la Provincia Autonoma di Trento, è stato recentemente pubblicato un modello semplificato di organizzazione, gestione e controllo come previsto dal D.Lgs. 231/2001 per la prevenzione dei reati contro la Pubblica Amministrazione, e dei reati societari, specificatamente pensato per le micro e piccole imprese. La nuova UNI/PdR 138:2023 non è una norma nazionale ma una prassi di riferimento. Le prassi di riferimento, adottate esclusivamente in ambito nazionale, rientrano fra i “prodotti della normazione europea”, come previsti dal Regolamento UE n.1025/2012, e sono documenti che introducono prescrizioni tecniche, elaborati sulla base di un rapido processo ristretto ai soli autori, sotto la conduzione operativa di UNI. Le prassi di riferimento sono disponibili per un periodo non superiore a 5 anni, tempo massimo dalla loro pubblicazione entro il quale possono essere trasformate in un documento normativo (UNI, UNI/TS, UNI/TR) oppure devono essere ritirate. Il valore di questa prassi di riferimento sta dunque nel fornire una risposta alle specifiche esigenze operative delle micro e piccole imprese. Se, infatti, la legislazione vigente che riguarda l’anticorruzione, a livello nazionale ed internazionale, è già molto ampia e consolidata (e vede nella UNI ISO 37001:2016 la norma tecnica di riferimento per quanto concerne i Sistemi di gestione per la prevenzione della corruzione), nessuna particolare indicazione è stata finora rinvenibile per la piccola imprenditorialità con riguardo a tali temi, se non in maniera limitata in ambito dottrinario e, con riguardo ai reati societari, dai Principi di revisione delle piccole imprese. La UNI/PdR 138:2023 rappresenta quindi prima di tutto un’azione di promozione per stimolare la compliance aziendale su questi temi di vitale importanza per la competitività del Paese. The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
