DIRITTO SOCIETARIO - DALL'EUROPA UN PROGETTO DI DIRETTIVA CHE CONSENTIRà ALLE IMPRESE MAGGIORI PROCEDURE ONLINE


L'Unione Europea ha deciso di rivedere le norme del proprio diritto societario affinché siano idonee all'era digitale. Con un comunicato stampa del 4 febbraio 2019, il Consiglio Europeo ha reso noto che, al fine di garantire maggiori efficienza, trasparenza e certezza del diritto grazie all'utilizzo di strumenti digitali, ha deciso di rivedere le norme del proprio diritto societario affinché rimangano idonee all'era digitale. L'obiettivo è garantire maggiori efficienza, trasparenza e certezza del diritto grazie all'utilizzo di strumenti digitali. Allo scopo è stato raggiunto un accordo provvisorio con i rappresentanti del Parlamento europeo su un progetto di direttiva che faciliterà e promuoverà l'uso di soluzioni online nei contatti delle imprese con le autorità pubbliche durante il loro intero ciclo di vita. Sono solo 17 Stati membri che, ad oggi, forniscono una procedura completamente online per la registrazione delle società, un platea che si intende allargare. Secondo le nuove regole: - le imprese potranno registrare società a responsabilità limitata, creare nuove succursali e trasmettere documenti per le imprese e le loro succursali al registro delle imprese, il tutto interamente online; - i modelli nazionali e le informazioni sui requisiti nazionali saranno disponibili online e in una lingua ampiamente compresa dalla maggior parte degli utenti transfrontalieri; - le norme relative agli oneri per le formalità online saranno trasparenti e applicate in modo non discriminatorio; - gli oneri applicati per la registrazione online delle società non supereranno i costi complessivi sostenuti dallo Stato membro interessato; - si applicherà il principio "una tantum", secondo il quale le imprese dovranno fornire una sola volta le stesse informazioni alle autorità pubbliche; - i documenti forniti dalle società saranno conservati e scambiati dai registri nazionali in un formato consultabile e leggibile da dispositivo automatico; - maggiori informazioni sulle imprese saranno disponibili gratuitamente nei registri delle imprese a beneficio di tutte le parti interessate. Allo stesso tempo, la direttiva fornisce tutte le garanzie necessarie per contrastare le frodi e gli abusi nelle procedure online, compresi il controllo dell'identità e della capacità giuridica delle persone che costituiscono una società e la possibilità di richiedere la presenza fisica dinanzi a un'autorità competente. Viene mantenuta la partecipazione di notai o avvocati nelle procedure di diritto societario, nella misura in cui tali procedure possano essere espletate interamente online. È inoltre previsto uno scambio di informazioni tra gli Stati membri sugli amministratori interdetti al fine di prevenire comportamenti fraudolenti. La direttiva proposta integra le norme esistenti in materia di diritto societario dell'UE codificate nella direttiva (UE) 2017/1132. Si tratta di una delle due proposte presentate dalla Commissione nell'aprile 2018 per la modernizzazione del diritto societario dell'UE. Rappresenta inoltre un importante pilastro per il regolamento sullo sportello digitale unico, recentemente adottato, che agevola le interazioni tra cittadini, imprese e autorità competenti fornendo accesso a soluzioni online. Il testo concordato provvisoriamente dovrà ora essere approvato dagli organi pertinenti delle due istituzioni. Sarà poi adottato formalmente dopo l'usuale messa a punto dei giuristi-linguisti. The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
