Società Benefit tra opportunità e sostenibilità: focus CNDCEC e FNC Ricerca


Il panorama imprenditoriale italiano sta vivendo una trasformazione profonda, dove il successo economico non può più prescindere dall'impatto sociale e ambientale. Al centro di questa evoluzione si colloca la società benefit, un modello giuridico che integra il profitto con l'obiettivo di generare valore condiviso.Per supportare i professionisti in questa transizione, il Consiglio e la Fondazione Nazionali dei Commercialisti hanno pubblicato il nuovo Quaderno intitolato “Normativa societaria e opportunità tra finanza e sostenibilità – Società benefit”. Questo documento, curato dalla Commissione “Governance e finanza”, offre un’analisi dettagliata su come la qualifica di società benefit si intrecci con le moderne strategie di finanza sostenibile. Verso un nuovo paradigma di Governance Introdotte in Italia con la Legge 208/2015, le società benefit rappresentano il superamento della vecchia distinzione tra enti non-profit e imprese for-profit. Il Quaderno evidenzia come questo modello non sia solo una scelta etica, ma una vera e propria strategia di governance. Attraverso l'integrazione dei fattori ESG (Environmental, Social, and Governance), le imprese possono rispondere con maggiore trasparenza e responsabilità (accountability) alle richieste del mercato e degli stakeholder. Punti chiave dell'approfondimento: quadro normativo e confronti: un’analisi che mette a confronto la società benefit con le certificazioni B-Corp e le imprese sociali, delineando le peculiarità giuridiche di ciascuna forma; sinergie con la CSRD: il documento esplora il legame cruciale tra lo status di benefit e la nuova Direttiva Europea sulla rendicontazione societaria di sostenibilità (CSRD), introducendo concetti fondamentali come la "doppia materialità"; responsabilità dell'ente: vengono approfondite le connessioni con il d.lgs. 231/2001, sottolineando come una gestione responsabile riduca i rischi aziendali. Il ruolo strategico dei Commercialisti La pubblicazione ribadisce la centralità dei commercialisti come consulenti strategici. Non si tratta solo di adempiere a obblighi normativi, ma di accompagnare le società benefit verso modelli di business capaci di creare valore nel lungo periodo. In un mercato sempre più orientato alla finanza sostenibile, la capacità di rendicontare correttamente l'impatto prodotto diventa un fattore competitivo determinante. In sintesi, il modello della società benefit si conferma come la risposta più concreta ed efficace per le aziende che puntano a una crescita resiliente, trasparente e pienamente integrata nelle sfide globali della sostenibilità.
