CESSIONE DI RAMO D'AZIENDA FORMATO DA MARCHI, AUTORIZZAZIONI IMMISSIONE IN COMMERCIO E MAGAZZINO


Con la risposta n. 151/2022 del 23 marzo 2022 l’Agenzia Entrate ha precisato che la cessione – da parte di Beta Italia in favore di Alfa – di alcuni asset significativi per l’esercizio di impresa, quali, nello specifico,  i marchi del prodotto farmaceutico a base di …,  l’autorizzazione all’immissione in commercio del prodotto farmaceutico Gamma,  il dossier relativo al prodotto e  il magazzino residuo in capo al Cedente alla data di perfezionamento della cessione rappresenta una cessione di ramo di azienda, poiché di per sé rappresenta un insieme organicamente finalizzato all’esercizio dell’attività d’impresa, autonomamente idoneo a consentire l’inizio o la continuazione di quella determinata attività da parte del cessionario sia pure mediante una successiva integrazione da parte del cessionario. Pertanto, ai fini delle imposte sui redditi l’eventuale plusvalenza realizzata da Beta: – concorre alla formazione del reddito imponibile ai sensi dell’articolo 86, comma 2, del TUIR. Tale plusvalenza può beneficiare della rateizzazione di cui al comma 4 del citato articolo 86, nel caso in cui il ramo d’azienda sia stato posseduto per un periodo non inferiore a tre anni; – non concorre alla formazione della base imponibile dell’IRAP ai sensi dell’articolo 5, comma 1, del decreto legislativo 15 dicembre 1997, n. 446. Per ragioni di coerenza sistematica, considerando l’unitarietà della nozione di azienda ai fini fiscali, le medesime conclusioni valgono anche ai fini del trattamento IVA dell’operazione.

  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
