LEGGE DI RIFORMA DELLE PROCEDURE DI CRISI E DELL'INSOLVENZA - DISPOSTE MODIFICHE AL CODICE CIVILE - NOVITà IN MATERIA DI SRL


E' stata pubblicata, sulla Gazzetta Ufficiale n. 254 del 30 ottobre 2017, la Legge 19 ottobre 2017, n. 155, recante "Delega al Governo per la riforma delle discipline della crisi di impresa e dell'insolvenza". L'articolo 14 di tale legge autorizza il Governo, nell'esercizio della delega, ad apportare alcune modifiche al Codice civile. In particolare, il Governo dovrà: prevedere l'applicabilità dell'articolo 2394 del Codice civile, relativo alla responsabilità degli amministratori delle società per azioni verso i creditori sociali, anche alle società a responsabilità limitata; abrogare l'articolo 2394-bis del Codice civile, sulle azioni di responsabilità nelle procedure concorsuali (art. 14, comma 1, lett. a); affermare nel Codice civile il dovere dell'imprenditore e degli organi della società di "istituire assetti organizzativi adeguati per la rilevazione della crisi e della perdita della continuità aziendale", per potere altrettanto tempestivamente attivarsi per l'adozione di uno degli strumenti di superamento della crisi e di recupero della continuità aziendale (art. 14, comma 1, lett. b); integrare l'elenco delle cause di scioglimento delle società di capitali (di cui all'articolo 2484 c.c.), includendovi anche l'assoggettamento alla procedura di liquidazione giudiziale (art. 14, comma 1, lett. c); prevedere, nell'ambito delle misure protettive che si attivano a seguito delle procedure di allerta, di composizione assistita della crisi, di accordo di ristrutturazione dei debiti e di regolazione concordata preventiva della crisi, la sospensione delle cause di scioglimento della società relative alla perdita del capitale sociale o alla sua riduzione al di sotto del minimo legale (articolo 2484, n. 4 e articolo 2545-duodecies c.c.), nonché la sospensione di alcuni obblighi degli organi sociali (art. 14, comma 1, lett. d); definire i criteri di quantificazione del danno risarcibile in caso di azione di responsabilità verso gli amministratori che abbiano violato l'articolo 2486 C.C., recando danni alla società e ai soci, ai creditori sociali e ai terzi, attraverso una gestione non limitata alla conservazione del patrimonio sociale (art. 14, comma 1, lett. e); prevedere l'applicabilità alle società a responsabilità limitata, anche prive di organo di controllo, delle disposizioni dell'articolo 2409 C.C., in tema di denunzia al tribunale delle irregolarità commesse dagli amministratori (art. 14, comma 1, lett. f); estendere i casi nei quali per le società a responsabilità limitata è obbligatoria la nomina di un organo di controllo o di un revisore, prevedendo comunque la nomina obbligatoria quando la società, per due esercizi consecutivi ha superato almeno uno dei seguenti limiti: totale dell'attivo dello stato patrimoniale: 2 milioni di euro; ricavi delle vendite e delle prestazioni: 2 milioni di euro; dipendenti occupati in media durante l'esercizio: 10 unità (art. 14, comma 1, lett. g); prevedere che l'obbligo di nomina dell'organo di controllo o del revisore cessi quando, per tre esercizi consecutivi, i ricordati requisiti dimensionali non vengono superati (art. 14, comma 1, lett. i); prevedere che, in caso di violazione delle disposizioni sulla nomina dell'organo di controllo, il tribunale possa provvedere, oltre che su richiesta di ogni interessato, anche su segnalazione del Conservatore del Registro delle imprese (art. 14,.
