SOCIETà CANCELLATA DAL REGISTRO DELLE IMPRESE - PER RIMUOVERE LA CANCELLAZIONE SERVE LA PROVA "DINAMICA" DELLA PROSECUZIONE DELL'ATTIVITà


Con l'ordinanza del 20 febbraio 2017, il Giudice del Registro delle imprese del Tribunale di Verona interviene sul tema della prosecuzione dell'attività imprenditoriale da parte di una società che sia stata cancellata dal Registro delle imprese e di cui sia conseguentemente intervenuta l'estinzione. Il giudice, in particolare, afferma che non è revocabile l'iscrizione della cancellazione sulla base del solo compimento di iniziative giudiziali volte alla tutela del credito, dal momento che queste non costituiscono un'attività economico-operativa funzionale alla realizzazione dell'oggetto sociale che, integrando la prosecuzione dell'attività di impresa, giustificherebbe l'intervento, ai sensi dell'articolo 2191 del Codice Civile, da parte del Giudice del Registro e la conseguente cancellazione dell'iscrizione della cancellazione della società dal Registro delle imprese. La prova contraria necessaria a superare l'effetto di pubblicità costitutiva determinato dall'iscrizione della cancellazione della società dal Registro delle imprese "deve vertere su un fatto dinamico, ovvero su circostanze che acclarino che la società ha continuato ad operare - e dunque ad esistere - pur dopo la cancellazione dal Registro delle imprese". Ad avviso del Giudice, "il requisito della prosecuzione dell'attività non può che consistere nello svolgimento di un'attività economico-operativa, funzionale alla realizzazione dell'oggetto sociale, poiché solo da esso è possibile desumere che, di fatto, la società cancellata in realtà non ha cessato di svolgere la sua attività di impresa".   • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
