Come ottenere la personalità giuridica per gli Enti del Terzo Settore. Requisiti di patrimonio minimo, ruolo del notaio e attestazioni dei revisori.L'acquisizione della personalità giuridica nel RUNTS L'iscrizione al Registro Unico Nazionale consente agli Enti del Terzo Settore di acquisire (o confermare, in caso di enti preesistenti) la personalità giuridica, garantendo così l'autonomia patrimoniale perfetta. Questa importante tutela è tuttavia subordinata alla dimostrazione e al costante mantenimento di un patrimonio minimo, un fondo posto a garanzia dei terzi creditori come sancito dall'art. 22 del Codice del Terzo Settore. Le soglie del patrimonio minimo Il legislatore ha stabilito soglie patrimoniali differenziate a seconda della natura giuridica dell'organizzazione: 15.000 euro per le associazioni e 30.000 euro per le fondazioni. Tale patrimonio deve essere obbligatoriamente costituito da una somma "liquida e disponibile". Se il patrimonio iniziale viene coperto tramite beni diversi dal denaro (ad esempio immobili strumentali), il loro esatto valore deve emergere da una perizia specifica, ovvero da una relazione giurata redatta da un revisore legale iscritto all'apposito registro del MEF. Il ruolo del Notaio e del Revisore Legale Nel procedimento di riconoscimento o iscrizione, il ruolo del notaio è centrale: spetta a lui redigere l'attestato di sussistenza del patrimonio da allegare all'istanza telematica per il RUNTS. Per gli enti già operativi che richiedono l'iscrizione, la verifica si basa sulla situazione economico-patrimoniale. In questi casi, il notaio acquisisce la relazione giurata di stima del revisore, dalla quale deve emergere con chiarezza un patrimonio netto (calcolato ai correnti valori di monetizzazione) non inferiore ai limiti di legge. Alternative strumentali per gli Enti preesistenti Per gli enti già operativi che risultano dotati di un organo di controllo al cui interno figuri almeno un revisore legale, la normativa ha introdotto una fondamentale semplificazione in sede di attestazione. La relazione giurata di stima può essere sostituita da una situazione patrimoniale aggiornata (datata a non più di 120 giorni dal ricevimento del verbale notarile), corredata da un'attestazione di "corretta compilazione" sottoscritta dal revisore stesso. Questa disciplina configura un vero e proprio monitoraggio dinamico che garantisce trasparenza e solidità prolungate nel tempo.
