CPB, DEBITI TRIBUTARI DELL?"ASSOCIATO: ESCLUSI ANCHE STUDIO E ALTRI PROFESSIONISTI


L?"Agenzia delle Entrate chiarisce gli effetti della causa di esclusione legata ai debiti tributari e le regole sull?"adesione congiunta. La presenza di debiti tributari superiori a 5.000 euro in capo a uno degli associati può impedire l?"accesso al concordato preventivo biennale (CPB) non soltanto al professionista interessato, ma anche allo studio associato e agli altri associati che intendono aderire. È il chiarimento fornito dall?"Agenzia delle Entrate nel corso dello Speciale Telefisco del 24 settembre 2026, in relazione alle regole applicabili al CPB 2026-2027. Il caso esaminato riguarda uno studio associato e i professionisti che ne fanno parte, ciascuno titolare anche di una propria partita IVA. Uno degli associati, alla data del 31 dicembre 2025, presenta debiti tributari scaduti relativi ad anni precedenti per un importo superiore alla soglia di 5.000 euro e non riesce a ridurre il debito entro il termine previsto per la presentazione del modello Redditi 2026. Debiti tributari: quando scatta l?"esclusione dal CPB L?"articolo 10, comma 2, del D.Lgs. n. 13/2024 prevede, tra le condizioni per l?"accesso al CPB, l?"assenza di debiti per tributi amministrati dall?"Agenzia delle Entrate o di debiti contributivi definitivamente accertati. La causa di esclusione non opera, tuttavia, se i debiti sono stati estinti nei termini previsti e il debito residuo complessivo, comprensivo di interessi e sanzioni, è inferiore a 5.000 euro.Nel calcolo della soglia non rilevano, fino all?"eventuale decadenza dai benefici, i debiti interessati da provvedimenti di sospensione o di rateazione. Nel caso esaminato, tuttavia, l?"associato non possiede il requisito richiesto. Questo impedisce innanzitutto la sua adesione individuale al CPB, ma produce conseguenze anche sugli altri soggetti. L?"adesione deve essere contestuale La risposta dell?"Agenzia richiama infatti l?"articolo 11 del D.Lgs. n. 13/2024, come modificato dal D.Lgs. 7 agosto 2026, n. 148, che prevede l?"adesione al CPB negli stessi periodi d?"imposta da parte del professionista titolare di una propria partita IVA e dell?"associazione o società professionale cui partecipa, a pena di esclusione dal concordato.Di conseguenza, l?"adesione non può essere effettuata liberamente e separatamente dai singoli soggetti. Se uno degli associati non può accedere al CPB per il mancato rispetto dei requisiti previsti dall?"articolo 10, comma 2, viene meno anche la possibilità per lo studio associato e per gli altri associati interessati di aderire al concordato. Il chiarimento dell?"Agenzia evidenzia quindi il collegamento tra i requisiti individuali richiesti per il CPB e il meccanismo di adesione contestuale previsto per i professionisti che operano attraverso uno studio o una società professionale.
