ADEGUATI ASSETTI ORGANIZZATIVI: FOCUS DEI COMMERCIALISTI SU CONSULENZA TECNICA E PERIZIA


Criticità e criteri operativi nella valutazione degli adeguati assetti organizzativi e dei Modelli 231. Il Consiglio e la Fondazione nazionali dei commercialisti hanno pubblicato un documento dedicato alla “consulenza tecnica e perizia nel contenzioso civile e penale in materia di adeguati assetti organizzativi, amministrativi e contabili, nonché di modelli organizzativi”.Il lavoro si inserisce nell?"ambito delle attività della delega “Funzioni giudiziarie” e analizza, in chiave operativa e comparata, i principali profili comuni e le criticità ricorrenti nelle consulenze tecniche d?"ufficio e di parte in sede civile (CTU/CTP) e nelle perizie in ambito penale, con particolare riferimento alle valutazioni sugli assetti organizzativi e sui Modelli di organizzazione, gestione e controllo previsti dal D.Lgs. n. 231/2001. (“Modelli 231”). Valutazione ex ante, prova documentale e traduzione dei dati aziendali in quesiti tecniciIl documento evidenzia alcuni elementi centrali nell?"attività peritale, tra cui la valutazione ex ante e proporzionata dell?"adeguatezza degli assetti, la qualità e tracciabilità della prova documentale, nonché la necessità di tradurre strumenti tipici della gestione aziendale (come piani, budget, reporting e sistemi di risk management) in quesiti tecnici verificabili in sede giudiziaria.Particolare attenzione viene inoltre dedicata ai rischi di formalismo, con modelli organizzativi solo apparenti, e all?"opposto a valutazioni eccessivamente discrezionali non ancorate a parametri normativi o standard tecnici riconosciuti. Raccomandazioni operative per i professionistiL?"analisi si chiude con una serie di raccomandazioni operative volte a rafforzare l?"approccio tecnico-giudiziario, tra cui la standardizzazione dei quesiti, il riferimento ai criteri di adeguatezza del Codice della crisi d?"impresa e dell?"insolvenza, in particolare agli “output informativi” dell?"art. 3, e l?"utilizzo di check-list e prassi tecniche.
