C'eravamo tanto amati: la 'Roulette Russa' e altre clausole di uscita nelle società paritetiche


Se la prevenzione fallisce e lo stallo è conclamato, si deve passare da strumenti di "prevenzione" ad altri di "chirurgia d'urgenza".Qui entrano in gioco le cosiddette clausole di buy-sell, spesso mutuate dalla prassi anglosassone. La più celebre e discussa è la "Russian Roulette Clause". Il meccanismo è brutale ma efficace nella sua logica economica: in caso di stallo, il Socio A può offrire al Socio B di acquistare la sua quota a un prezzo da lui (Socio A) determinato il Socio B ha due opzioni: accettare l'offerta e uscire dalla società incassando il prezzo, oppure ribaltare la situazione e acquistare la quota del Socio A allo stesso identico prezzo proposto.   Questo sistema costringe chi avvia la procedura a dichiarare un prezzo equo. Se spara troppo basso per comprare a sconto, rischia di essere lui stesso comprato a quel prezzo basso. È la teoria dei giochi applicata al diritto societario.  Esistono varianti come per esempio la Texas Shoot-out, che prevede un’asta al rialzo.  Sono rimedi estremi che portano inevitabilmente alla fine della partnership, ma possono salvare la continuità aziendale e scongiurare una liquidazione "atomica".

  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
