EU INC. LA NUOVA 'SOCIETà EUROPEA A RESPONSABILITà LIMITATA'


Con la presentazione della proposta di regolamento sulla Eu Inc. del 18 marzo 2026, la Commissione europea ha preannunciato un cosiddetto “28° regime“: un nuovo modello societario uniforme che punta a superare la frammentazione dei 27 ordinamenti nazionali per offrire alle imprese un?"identità giuridica immediatamente riconoscibile in tutta l?"Unione. Grazie a un?"interfaccia digitale basata sul sistema **Bris** (l?"interconnessione dei registri delle imprese), sarà possibile costituire una Eu Inc. interamente online. La proposta prevede due percorsi: Procedura Fast-Track: basata su modelli standard, garantisce la registrazione entro 48 ore con un costo massimo di 100 euro Procedura Tailor-Made: per esigenze più complesse, che segue i tempi e i costi delle normative nazionali pur mantenendo la matrice europea. Il sistema si fonderà sul principio del “once-only“: le informazioni fornite all?"avvio verranno condivise automaticamente tra registri, autorità fiscali e degli effettivi beneficiari, eliminando inutili duplicazioni burocratiche. Tra le caratteristiche della Eu Inc. segnaliamo: non è previsto alcun obbligo di versamento minimo iniziale di Capitale le “azioni” possono essere prive di valore nominale e sono integralmente dematerializzate, agevolando i trasferimenti online e l?"ingresso di investitori l?"organo amministrativo può essere composto anche da un solo membro e le assemblee possono svolgersi totalmente in digitale. Nonostante la spinta verso la velocità, la proposta non rinuncia ai controlli di legalità. Il ruolo del notaio (o delle autorità competenti nazionali) resterà centrale per prevenire abusi, venendo però integrato in un flusso digitale coordinato. Per facilitare l?"operatività internazionale, i documenti societari saranno esenti da “legalizzazione o apostille” e gli atti dovranno essere redatti sia nella lingua nazionale che in una lingua d?"uso negli affari internazionali. Il regolamento introduce anche procedure semplificate per la liquidazione di società solvibili e strumenti specifici per l?"insolvenza delle startup. The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
