Il nuovo framework del CNDCEC: costruire il 'ponte informativo' per la sostenibilità


Il percorso verso una piena integrazione dei fattori ESG (Environmental, Social, Governance) nella valutazione d’azienda segna una nuova tappa fondamentale. Con la pubblicazione del documento “I fattori ESG nella valutazione d’azienda: elementi strategici, gestionali e informativi”, il Consiglio Nazionale dei Dottori Commercialisti e degli Esperti Contabili (CNDCEC) completa un disegno iniziato nel 2024, fornendo ai professionisti gli strumenti operativi per tradurre la "sostenibilità" in numeri e valore economico.Dall’informativa alla pratica valutativa Il documento, curato dall'area “Principi contabili e di valutazione”, si pone come la naturale prosecuzione della guida pubblicata nell’agosto del 2024. Se il primo volume si era concentrato sulla "costruzione della base informativa", questo secondo capitolo entra nel vivo dell’analisi fondamentale. L’esigenza di questo intervento nasce da una realtà di mercato ineludibile: la sostenibilità non è più un elemento accessorio o un semplice onere di rendicontazione, ma un driver determinante del rischio e del rendimento aziendale. L’obiettivo del documento è fornire al valutatore "proposte operative ed esempi" per navigare la complessità di una materia che spesso soffre di una carenza di dati strutturati, specialmente nel comparto delle Piccole e Medie Imprese (PMI).   La sfida delle PMI e il "ponte informativo" Uno degli aspetti più interessanti del lavoro del Consiglio Nazionale è proprio l'attenzione rivolta alle "PMI".  Sebbene queste imprese non siano attualmente soggette ai rigorosi obblighi normativi di rendicontazione non finanziaria (come la Direttiva CSRD), esse si trovano immerse in una catena del valore che esige trasparenza sui fattori ESG. Il valutatore si trova quindi spesso di fronte a un paradosso: deve valutare un'azienda condizionata dai rischi e dalle opportunità della sostenibilità senza disporre di un Bilancio di Sostenibilità organico. Qui interviene il concetto di "ponte informativo": il documento del CNDCEC guida il professionista nel reperire e strutturare quelle informazioni gestionali che, sebbene non pubblicate ufficialmente, sono essenziali per un’analisi rigorosa.   Il ruolo dei Principi Italiani di Valutazione (PIV) Il perno attorno a cui ruota l'intera trattazione è rappresentato dai "Principi Italiani di Valutazione" (PIV). In particolare, il documento richiama il PIV II.4.3, che stabilisce i contenuti minimi della relazione di valutazione, ponendo l’analisi fondamentale come lo step immediatamente successivo alla raccolta dei dati. L'integrazione degli ESG richiede un cambio di paradigma: il valutatore non può più limitarsi a proiettare i dati storici, ma deve comprendere come i fattori di sostenibilità modifichino il modello di business. Un'azienda con un’alta impronta di carbonio, ad esempio, potrebbe affrontare costi di transizione che erodono i flussi di cassa futuri, mentre una governance solida può ridurre il premio per il rischio richiesto dagli investitori. Appare chiaro che la sfida per il commercialista-valutatore non è solo tecnica, ma culturale. La capacità di integrare gli elementi strategici e gestionali legati alla sostenibilità diventa un requisito di qualità professionale indispensabile per garantire stime d'azienda attendibili e al passo con le evoluzioni del mercato dei capitali.
