Prevenire è meglio che liquidare; le clausole endosocietarie per evitare lo 'stallo'


La vera prevenzione dello stallo non avviene quando la lite è in corso, ma davanti al notaio, al momento della costituzione o durante una revisione dello statuto.Un errore comune è adottare per società paritetiche statuti "standard", che sono la ricetta perfetta per il disastro. Esistono diversi strumenti giuridici per prevenire la paralisi senza alterare necessariamente le quote di capitale. Vediamo qualche esempio.  1. Il Casting Vote Si attribuisce a uno dei soci (magari a rotazione o in base a specifiche competenze) un voto prevalente in caso di parità su determinati temi tecnici. 2. L'Amministratore indipendente Introdurre nel Consiglio di Amministrazione un terzo membro, un professionista esterno di fiducia comune, che possa fungere da ago della bilancia nei momentidi tensione. 3. Il "Tie-Breaking" tramite esperti In caso di disaccordo su valutazioni tecniche o finanziarie, le parti si impegnano preventivamente a rimettere la decisione a un terzo arbitratore indipendente.   Queste soluzioni richiedono una dote rara: l'umiltà di ammettere che potremmo non avere sempre ragione.  In economia, la governance non serve a dare ragione a qualcuno, ma a permettere all'azienda di continuare a operare.

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.

  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
