L?"IRES PREMIALE PER I REDDITI 2025


La nuova IRES premiale (definita dall?"art. 1, commi 436-444, della L. 207/2024 e attuata dal DM 8 agosto 2025) consiste in una riduzione dell?"aliquota ordinaria, che scende dal 24% al 20% per il solo periodo d?"imposta 2025. Non si tratta però di un automatismo generalizzato; l?"accesso a questo sconto di quattro punti percentuali è subordinato al rispetto di una serie di requisiti stringenti che toccano tre ambiti fondamentali della vita aziendale: la gestione degli utili, gli investimenti in innovazione e il potenziamento dell?"organico. L?"agevolazione si rivolge alla vasta platea dei soggetti passivi IRES indicati nell?"articolo 73 del TUIR, includendo dunque le società di capitali, le società cooperative e gli enti commerciali residenti, oltre alle stabili organizzazioni di soggetti non residenti. Sono invece espressamente escluse le imprese in liquidazione o soggette a procedure concorsuali, così come quelle che operano in regimi forfettari o che adottano la contabilità semplificata. Per accedere al beneficio, la prima condizione riguarda la destinazione dell?"utile d?"esercizio relativo al 2024: almeno l?"80% di tale importo deve essere accantonato in un?"apposita riserva di patrimonio netto. Questo vincolo di non distribuibilità deve essere mantenuto per almeno due anni, pena la decadenza dall?"agevolazione. Al vincolo patrimoniale si aggiunge quello legato agli investimenti; l?"impresa è chiamata a realizzare nel corso del 2025 acquisti di beni strumentali riconducibili ai piani transizione 4.0 o transizione 5.0. La soglia minima di investimento è calcolata in modo rigoroso: deve essere pari al valore più alto tra il 30% dell?"utile accantonato nel 2024, il 24% dell?"utile prodotto nel 2023 o, in ogni caso, un importo non inferiore a 20.000 euro. Il terzo pilastro della IRES premiale è rappresentato dall?"incremento occupazionale. La normativa richiede che nel 2025 si verifichi un aumento del numero di lavoratori dipendenti a tempo indeterminato pari ad almeno l?"1% rispetto alla media del 2024, con un incremento minimo di almeno un?"unità. Non basta però assumere: è necessario mantenere i livelli occupazionali complessivi (espressi in ULA, unità lavorative annue) non inferiori alla media del triennio precedente. Un ulteriore paletto riguarda il ricorso agli ammortizzatori sociali; l?"impresa non deve aver beneficiato della cassa integrazione guadagni negli anni 2024 e 2025, salvo casi eccezionali legati a eventi transitori e non imputabili all?"azienda. L?"IRES premiale è un beneficio cumulabile con altre misure di favore. L?"azienda può infatti sommare il risparmio dell?"aliquota ridotta con la superdeduzione del 120% o 130% sui costi del personale neoassunto, oltre ai crediti d?"imposta per gli investimenti tecnologici. Se i vantaggi economici sono evidenti, non bisogna sottovalutare la complessità tecnica legata al monitoraggio dei requisiti e al rischio di decadenza. L?"IRES premiale rappresenta infatti un?"opportunità straordinaria, ma estremamente articolata. La sua applicazione non può essere lasciata all?"improvvisazione ed è fondamentale che ogni imprenditore interessato approfondisca questi aspetti con il proprio commercialista, per trasformare una norma complessa in un reale vantaggio competitivo per la propria attività.
