MANDATO FIDUCIARIO SENZA DATA CERTA: I CHIARIMENTI DEL CNDCEC SULL?"INCOMPATIBILITà PROFESSIONALE


Con il Pronto ordini n. 94/2025 pubblicato il 30 gennaio il CNDCEC, in risposta ad un quesito formulato dall'ODCEC di Trani,si è espresso in merito al comportamento da adottare verso un iscritto che invochi l?"assenza di incompatibilità producendo un mandato fiduciario in forma di scrittura privata, privo di autenticazione e di data certa. Il CNDCEC ricorda innanzitutto che la valutazione del caso concreto resta di competenza dell?"Ordine territoriale, precisando però che, ai sensi dell?"art. 4 del D.lgs. 139/2005, l?"esercizio della professione è incompatibile con lo svolgimento di attività d?"impresa finalizzata al perseguimento di un interesse economico proprio dell?"iscritto. L?"eventuale gestione di un?"impresa può invece risultare compatibile qualora sia svolta in forza di un mandato conferito dal cliente e nell?"esclusivo interesse di quest?"ultimo, senza alcun tornaconto imprenditoriale personale. Il Consiglio Nazionale evidenzia tuttavia che un mandato fiduciario privo di elementi di certezza e verificabilità (come la data certa o altri riscontri oggettivi) rischia di apparire meramente strumentale e non idoneo, di per sé, a escludere l?"incompatibilità. Spetta quindi all?"iscritto fornire una prova documentale rigorosa dell?"effettiva natura fiduciaria dell?"incarico e dell?"assenza di un proprio interesse economico. Ai fini della verifica dell?"effettiva insussistenza di una situazione di incompatibilità, spiega il Consiglio Nazionale, tra gli elementi che l?"Ordine può valutare rientrano, a titolo esemplificativo: la documentazione attestante la legittimazione del mandante; le evidenze documentali circa l?"assenza di interesse economico proprio dell?"iscritto, quali ad esempio; la mancata partecipazione agli utili o ai dividendi, l?"assenza di attribuzioni patrimoniali dirette o indirette, l?"esistenza di compensi coerenti con la natura professionale dell?"incarico, eventuali riscontri nei registri societari o presso gli enti deputati alla pubblicità legale; ogni altro elemento utile a verificare che l?"attività svolta sia esclusivamente riconducibile a un incarico professionale e non a un'attività d?"impresa in senso proprio.   • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
