L’integrazione delle clausole ESG negli statuti societari: una scelta legittima e strategica


Le aziende caratterizzate da una visione moderna sono sempre più chiamate a guardare oltre la massimizzazione del profitto, integrando nella propria strategia obiettivi di sostenibilità ambientale, sociale e di governance (ESG). Un recente approfondimento ha messo in luce come l’inserimento di clausole di sostenibilità all’interno degli statuti societari non solo sia una pratica legittima, ma rappresenti anche una leva fondamentale per la competitività e la crescita nel lungo periodo.Le clausole di sostenibilità, o clausole ESG, sono disposizioni statutarie che affiancano allo scopo di lucro tradizionale (la massimizzazione dei profitti) ulteriori finalità di beneficio comune. Queste finalità possono includere la tutela dell’ambiente, il benessere dei dipendenti e della collettività, la salvaguardia dei diritti umani o, più in generale, il perseguimento di un impatto sociale positivo. La loro legittimità è fondata su un principio ormai consolidato: l’attività d’impresa non deve necessariamente limitarsi alla divisione degli utili, ma può e deve considerare anche l’impatto complessivo che genera. Questo orientamento è stato confermato anche dai comitati notarili, come quello del Triveneto, i quali hanno stabilito che è possibile inserire nello statuto societario scopi ulteriori rispetto a quello lucrativo, in linea con quanto previsto per le cosiddette “società benefit” (legge 208/2015). Di fatto, il perseguimento di finalità di beneficio comune è consentito a qualsiasi tipo di società. L’introduzione di clausole ESG modifica in parte la visione degli amministratori: loro compito non è più solo la ricerca del profitto immediato, ma il raggiungimento di un equilibrio sostenibile tra gli interessi economici dei soci e gli interessi più ampi degli stakeholder (dipendenti, fornitori, clienti, comunità locale). Questo non significa rinunciare alla redditività, ma perseguirla attraverso un modello di business più evoluto e resiliente. Le clausole ESG forniscono agli amministratori una “cornice” di legalità per prendere decisioni che, pur potendo avere un impatto non immediatamente positivo sul profitto a breve termine (ad esempio, investire in impianti a minor impatto ambientale o in materie prime più costose ma etiche), contribuiscono a creare valore nel lungo periodo. L’adozione di un modello di gestione orientato alla sostenibilità si traduce in concreti vantaggi per l’impresa: Miglioramento della reputazione: un impegno formale verso la sostenibilità rafforza l’immagine aziendale e la fiducia da parte di clienti e investitori. Differenziazione sul mercato: permette all’azienda di distinguersi dai concorrenti, intercettando una fascia di mercato sempre più attenta ai valori etici e ambientali. Aumento della competitività: integrare i processi sociali ed economici del territorio in cui opera e migliorare la qualità dei propri prodotti e servizi rende l’impresa più solida e competitiva. In conclusione, formalizzare l’impegno verso la sostenibilità attraverso l’inserimento di clausole ESG nello statuto non è un mero adempimento formale, ma una scelta strategica che orienta l’intera gestione aziendale verso un successo duraturo e condiviso.

  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
