Report di Sostenibilità: lo stato dell’arte della normativa europea


La rendicontazione di sostenibilità si è trasformata da iniziativa volontaria a obbligo di legge per un numero sempre maggiore di imprese europee. L’Unione Europea ha infatti costruito un solido quadro normativo per aumentare la trasparenza delle informazioni non finanziarie, con l’obiettivo di orientare i capitali verso attività più sostenibili. Tuttavia, per concedere alle imprese più tempo per adattarsi a queste complesse novità, l’UE ha recentemente approvato un’importante modifica alle scadenze.Il fulcro della normativa è la Corporate Sustainability Reporting Directive (CSRD). Questa direttiva ha preso il posto della precedente Non-Financial Reporting Directive (NFRD), ampliando notevolmente sia il numero di aziende obbligate sia la quantità di informazioni richieste. Per rispondere alle difficoltà operative segnalate dalle imprese e ridurre gli oneri amministrativi, all’inizio del 2025 è stata approvata la cosiddetta direttiva “Stop the Clock” (parte del “Pacchetto Omnibus”). Questa direttiva non cancella gli obblighi, ma rinvia di due anni l’entrata in vigore della CSRD per alcune categorie di aziende e posticipa l’adozione degli standard di rendicontazione settoriali. L’obiettivo è permettere una transizione più graduale e dare più tempo per implementare correttamente i nuovi e complessi processi di raccolta dati. Alla luce della direttiva “Stop the Clock”, le scadenze per l’applicazione della CSRD sono state ridefinite come segue: Dal 1° gennaio 2024 (Report nel 2025) – NESSUNA MODIFICA: Grandi imprese di interesse pubblico (banche, assicurazioni, società quotate) con più di 500 dipendenti, già soggette alla precedente direttiva NFRD. Per questa categoria, i termini rimangono invariati. Dal 1° gennaio 2027 (Report nel 2028): Tutte le altre grandi imprese che superano almeno due dei seguenti tre criteri: Più di 250 dipendenti. Oltre 50 milioni di euro di fatturato. Oltre 25 milioni di euro di totale di bilancio. (Scadenza originaria: 1° gennaio 2025). Dal 1° gennaio 2028 (Report nel 2029): PMI quotate (escluse le microimprese). (Scadenza originaria: 1° gennaio 2026). Dal 1° gennaio 2028 (Report nel 2029) – NESSUNA MODIFICA: Imprese non europee che generano ricavi significativi nell’UE. La CSRD impone l’utilizzo di standard di rendicontazione comuni: gli European Sustainability Reporting Standards (ESRS), che coprono tutte le aree ESG (Environmental, Social, Governance) secondo il principio della doppia materialità. Anche qui la direttiva “Stop the Clock” ha introdotto una novità rilevante: il rinvio degli Standard Settoriali. L’adozione degli ESRS specifici per settore (es. oil & gas, tessile, ecc.) e di quelli per le grandi imprese extra-UE è stata posticipata di due anni, a giugno 2026. Questo permette alle aziende di concentrarsi sull’implementazione del primo set di standard trasversali, che restano pienamente in vigore. Restano confermati i due pilastri introdotti dalla CSRD per rafforzare la credibilità del report: Assurance obbligatoria: Il bilancio di sostenibilità dovrà essere sottoposto a una verifica di conformità (“limited assurance”) da parte di un revisore legale o di un professionista accreditato. Formato elettronico Unico (XHTML): Le informazioni dovranno essere “etichettate” digitalmente (tagging) per renderle facilmente accessibili e analizzabili. Il rinvio offerto dalla “Stop the Clock” rappresenta un’opportunità strategica per le imprese. Sebbene la pressione immediata sia diminuita per molte, è fondamentale utilizzare questo tempo extra per prepararsi adeguatamente, strutturando i processi interni di raccolta dati e definendo una solida strategia di sostenibilità.

  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
