Per la scissione con scorporo a società preesistente non vale la neutralità fiscale


Risposta ad interpello N.225/2025.Come sappiamo la scissione con scorporo (art. 2506.1 c.c.) prevede l’assegnazione delle partecipazioni alla società scissa, non ai soci.La norma non fa espresso riferimento all'assegnazione a società preesistente.L'Agenzia, per quanto vale, riconosce la validità di tale fattispecie, già avallata dalle Massime notarili di Milano n. 209/2023 e Firenze n. 89/2024, riconoscendo, bontà sua, che "si presta a soddisfare diversi interessi meritevoli di protezione".Nega però che possa godere della neutralità fiscale prevista dall'art. 173 comma 15ter TUIR, limitandola alle sole operazioni con costituzione di nuova società beneficiaria, basandosi essenzialmente sulla relazione illustrativa al decreto legislativo n. 192 del 2024 che ha ha integrato la normativa fiscale.La bozza iniziale di decreto prevedeva infatti l’ipotesi di scorporo in società preesistenti, ma tale disposizione è stata soppressa su richiesta della Commissione Finanze della Camera, proprio, ritiene l'Agenzia, per allineare il regime fiscale al dettato civilistico, che però, per sua stessa ammissione, comprende in via interpretativa anche la fattispecie esclusa.Non sembra un capolavoro di coerenza. Ma occorrerà tenerne conto.

  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
