Semplificazioni e chiarimenti dal tavolo tra Unioncamere e Notariato


PEC per gli amministratori, ma anche no.Dalla riunione dell’8 maggio 2025 è emerso qualche spunto confortante per le imprese, specie in merito all’obbligo degli amministratori di società, previsto da quest’anno dalla Legge di bilancio 2025 (art. 1, comma 860, della L. 30 dicembre 2024, n. 207) di comunicare il proprio domicilio digitale per l’iscrizione al Registro delle Imprese, cioè il proprio indirizzo di posta elettronica certificata (PEC).I conservatori del registro imprese si erano mossi in ordine sparso, poi si erano allineati alla nota ministeriale del 12 marzo 2025 prot. n. 43836, che aveva ritenuto “più aderente alla ratio della norma” l’indicazione di un indirizzo “proprio ed esclusivo dell’amministratore” diverso da quello della società. Dal tavolo riemerge invece un’apertura: l’amministratore può, se vuole, “eleggere domicilio speciale elettronico" (art 47 c.c.), "presso il domicilio digitale della società nella quale ricopre la carica”; e scegliere quindi lo stesso indirizzo PEC della società; semplificazione rilevante per gli amministratori stranieri, che a volte, la PEC, non sanno nemmeno che cosa sia. Si conferma poi che la comunicazione spetta anche agli amministratori senza deleghe operative e ai liquidatori; non invece ai procuratori, ai direttori generali, ai preposti di società estere con sede secondaria in Italia. Riguarda inoltre le società già costituite quest’anno, quando mutano o rinnovano le cariche, ma, in tal caso, senza diritti di segreteria, senza termine e quindi senza sanzioni. Sono infine escluse le società “senza impresa”, come quelle tra professionisti (Stp e Sta) e le società di mutuo soccorso, i consorzi i contratti di rete. Chiarimenti anche per le SPAPer le Spa si ribadisce l’obbligo di aggiornare l’elenco soci al Registro Imprese, non solo in occasione dell’approvazione del bilancio (ex art. 2435 c. 2 c.c.), ma anche in occasione di fusioni, scissioni, aumenti di capitali o altre operazioni straordinarie che incidano sulla compagine sociale, circostanza non prevista dalla legge, ma spesso già richiesta dal registro imprese .Ci pensano comunque i notai, formalizzando con una pubblicità notizia utile ai terzi, anche se non incidente sui loro diritti, per cui conta invece il libro soci, né su quello dei soci di partecipare all’assemblea, per cui è sufficiente l’esibizione del titolo azionario, ove emesso, anche se gli amministratori devono iscriverli subito a libro soci (art. 2370 c.c.).ll nuovo assetto va in ogni caso ribadito entro 30 giorni dalla successiva approvazione del bilancio.Non è invece previsto, né di solito consentito, l'aggiornamento dell'elenco soci in seguito alla girata azionaria o comunque alla cessione della partecipazione della spa.
