Responsabilità (un po’) limitata per i sindaci


Il 12 aprile entrerà in vigore la nuova disciplina della responsabilità di sindaci e membri dell’organo di controllo delle società di capitali.La legge 14 marzo 2025, n. 35 modifica infatti l’art. 2407, introducendo limiti quantitativi alla loro responsabilità, commisurati all’importo del compenso percepito, e un termine quinquennale di prescrizione per l’azione di responsabilità nei loro confronti.Non variano i doveri, (art. 2407 comma 1), cui devono adempiere “con la professionalità e la diligenza richieste dalla natura dell’incarico”, né la responsabilità per la “verità delle loro attestazioni e per “il segreto sui fatti e sui documenti di cui hanno conoscenza per ragione del loro ufficio”.Viene, invece, integralmente riscritto il secondo comma del medesimo Articolo, ove si prevede che:“al di fuori delle ipotesi in cui hanno agito con dolo, anche nei casi in cui la revisione legale è esercitata dal collegio sindacale a norma dell’articolo 2409-bis, secondo comma, i sindaci che violano i propri doveri sono responsabili per i danni cagionati alla società che ha conferito l’incarico, ai suoi soci, ai creditori e ai terzi nei limiti di un multiplo del compenso annuo percepito, secondo i seguenti scaglioni: per i compensi fino a 10.000 euro, quindici volte il compenso;per i compensi da 10.000 a 50.000 euro, dodici volte il compenso;per i compensi maggiori di 50.000 euro, dieci volte il compenso.E viene aggiunto il quarto comma: “ L’azione di responsabilità verso i sindaci si prescrive nel termine di cinque anni dal deposito della relazione di cui all’articolo 2429 concernente l’esercizio in cui si è verificato il danno”. La medesima disciplina, come si è accennato, si applica ai componenti dell’organo di controllo delle società a responsabilità limitata (art. 2477 c.c. ) e delle cooperative (art. 2519 c.c.). Un (lieve) incentivo per svolgere con maggiore serenità un incarico complesso, prezioso per la tenuta del sistema e per la sua affidabilità, che sempre meno professionisti, comprensibilmente, si sentono di affrontare.

  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
