Con il Provvedimento del 10 marzo 2025, il direttore dell?"Agenzia Entrate ha approvato un nuovo modulo aggiuntivo al modello “Rap – Registrazione di atto privato”. Questo strumento, corredato dalle relative istruzioni, consente ai rappresentanti legali delle società, ai loro incaricati e agli intermediari autorizzati di richiedere la registrazione telematica dei verbali di distribuzione degli utili societari. Dopo l?"introduzione della registrazione online per i contratti di comodato d?"uso e i contratti preliminari di compravendita, si amplia ulteriormente la gamma di atti privati che possono essere gestiti direttamente in modalità digitale. L?"integrazione del modulo per i verbali di distribuzione degli utili nel modello Rap è in linea con le disposizioni del Decreto Legislativo n. 139/2024, che prevede la progressiva digitalizzazione delle richieste di registrazione degli atti privati e l?"autoliquidazione delle imposte dovute. La registrazione telematica deve avvenire entro 30 giorni dalla data della delibera assembleare che approva la distribuzione degli utili e comporta il pagamento di un?"imposta di registro fissa di 200 euro. Il nuovo modulo permette anche di versare le imposte di registro e di bollo in autoliquidazione, eliminando la necessità di una liquidazione da parte dell?"Agenzia Entrate. A breve, sul sito dell?"Agenzia sarà disponibile una procedura web aggiornata per la compilazione e l?"invio del modello Rap, insieme al software di controllo necessario. Oltre all?"introduzione del nuovo modulo, il provvedimento ha apportato alcune modifiche alle specifiche tecniche, tra cui: – L?"aliquota relativa alla caparra confirmatoria e agli acconti di prezzo non soggetti a IVA, che passa dallo 0,5% al 3%, in conformità con il Dlgs n. 139/2024.– La tassazione della clausola penale nei contratti soggetti all?"imposta di registro: non è più prevista un?"imposta separata, ma viene applicata la tassazione più onerosa dell?"atto principale.– Il calcolo delle sanzioni per il ritardato pagamento delle imposte autoliquidate, come stabilito dal Dlgs n. 87/2024. Queste modifiche riguardano esclusivamente le specifiche tecniche del modello Rap, mentre gli strumenti informatici per la compilazione e il controllo del modello sono già stati aggiornati.

  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
