ESG E CLAUSOLE DI SOSTENIBILITà NEGLI STATUTI DELLE SOCIETà DI CAPITALI


Nei nuovi Orientamenti societari 2023 recentemente pubblicati dal Comitato Interregionale dei Consigli notarili delle Tre Venezie viene dedicato ampio spazio ai temi ESG (Environmental, Social, Governance) e alle clausole di sostenibilità adottabili negli statuti delle società di capitali. Fermo restando quanto genericamente previsto dall’art. 41 della Costituzione (L’iniziativa economica privata è libera. Non può svolgersi in contrasto con l’utilità sociale o in modo da recare danno alla salute, all’ambiente, alla sicurezza, alla libertà, alla dignità umana. La legge determina i programmi e i controlli opportuni perché l’attività economica pubblica e privata possa essere indirizzata e coordinata a fini sociali e ambientali.), il Comitato Interregionale dei Consigli notarili delle Tre Venezie ritiene pienamente legittime le clausole statutarie che dettano specifiche regole etiche e/o di sostenibilità da rispettare nella gestione della società, anche qualora risultassero a scapito della massimizzazione dei profitti e della efficienza produttiva. Dette clausole integrano esclusivamente una modalità di perseguimento del fine di lucro senza aggiungere ad esso un ulteriore fine di utilità sociale, fine quest’ultimo di per sé estraneo al contratto di società come definito dall’art. 2247 c.c. e che pertanto non può essere inserito nell’oggetto sociale. Il Comitato Interregionale dei Consigli notarili delle Tre Venezie ritiene quindi legittime le seguenti clausole di sostenibilità: clausola di destinazione di utili a finalità di sostenibilità; clausola di integrazione degli interessi degli stakeholders nelle decisioni dell’organo amministrativo; clausola statutaria che imponga agli amministratori obblighi di consultazione con gli stakeholders; clausola che attribuisce ad un gruppo di esperti indipendenti la valutazione periodica della performance ambientale o sociale dell’impresa; clausola che attribuisce ad un gruppo di esperti indipendenti la determinazione di una parte del compenso degli amministratori sulla base di dati parametri di sostenibilità delle politiche da questi adottate; clausola di gradimento che introduca dei requisiti di carattere etico per l’assunzione delle partecipazioni sociali purché non sia dotata di eccessiva genericità nell’individuazione di detti requisiti.

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
