La comunicazione del titolare effettivo entro l’11 dicembre 2023


E’ stato pubblicato il 9 ottobre 2023 in G.U. n. 236 il decreto del Ministero delle imprese e del made in Italy 29 settembre 2023 , che definisce la piena operatività del registro dei titolari effettivi. L’invio del nuovo adempimento potrà essere effettuato fino all’11 dicembre 2023, in quanto  le prime comunicazioni vengano fatte entro 60 giorni dalla pubblicazione in Gazzetta Ufficiale dell’ultimo decreto. I soggetti obbligati all’adempimento sono: le società di capitali (spa, sapa, srl, cooperative e società di mutuo soccorso), le persone giuridiche private (fondazioni, associazioni riconosciute e comitati riconosciuti) i trust (trattasi dei trust produttivi di effetti giuridici rilevanti ai fini fiscali di cui all’ del D.Lgs. n. 231/2007) e i soggetti ad essi assimilati. Il cliente è tenuto a fornire per iscritto, sotto la propria responsabilità, tutte le informazioni necessarie e aggiornate per consentire ai soggetti obbligati di adempiere agli obblighi di adeguata verifica, anche quelli del titolare effettivo. L’individuazione del titolare effettivo deve essere effettuata con l’ausilio del cliente, che sarà solitamente l’esecutore della società o dell’ente, cioè il suo rappresentante legale, ma spesso non il titolare effettivo. I dati del titolare effettivo da comunicare sono: il nome e cognome, il luogo e la data di nascita, la residenza ed il codice fiscale (ove attribuito) attraverso un mezzo idoneo come la dichiarazione del cliente o a mezzo PEC. La comunicazione deve essere trasmessa tramite il servizio DIRE del Registro Imprese. Eventuali variazioni inerenti la titolarità effettiva dovranno essere effettuate entro 30 giorni dal compimento dell’atto che dà luogo a variazione (esempio vendita quote, cambiamento del presidente della società ecc.). I dati e le informazioni dovranno essere confermati entro 12 mesi dalla data della loro prima comunicazione o dall’ultima comunicazione della loro conferma. Per le società chiamate, tenute alla redazione e presentazione del bilancio presso il registro delle imprese, la conferma dei dati potrà essere effettuata contestualmente al deposito del bilancio. La comunicazione va inviata direttamente e firmata digitalmente dal legale rappresentante e non può essere delegata, ad esempio, all’intermediario, anche se probabilmente saranno gli intermediari a effettuare l’invio delle comunicazioni, con al fianco i clienti, dotati di firma digitale. L’omessa comunicazione delle informazioni sul titolare effettivo al Registro delle imprese sarà punita con la sanzione amministrativa da 103 a 1.032 euro. Se la comunicazione avviene nei 30 giorni successivi alla scadenza dei termini prescritti, la sanzione amministrativa pecuniaria è ridotta ad un terzo. Per l’individuazione del titolare effettivo occorre fare riferimento all’art. 1, comma 2, lett. pp), del d.lgs.231/2007.

  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
