LA NOMINA DEL REVISORE UNICO NELLE S.R.L.


Il 19 ottobre 2017 è stata pubblicata la Legge n. 155, recante la delega al Governo da parte del Senato per la riforma della disciplina della crisi di impresa e dell'insolvenza. La Legge delega è andata a modificare la disciplina fallimentare e ha riformato il codice civile estendendo l'obbligo di nomina di un organo di controllo per le S.r.l. al verificarsi di determinate condizioni. Il progetto di legge prevede l'obbligo di dotare la struttura dell'S.r.l. di un organo di controllo, anche monocratico, o di un revisore, se la società: è tenuta alla redazione del bilancio consolidato; controlla essa stessa una società obbligata alla revisione legale dei conti; ne ha specificatamente previsto la nomina nell'atto costitutivo; (obbligatoriamente) ove per due esercizi consecutivi supera anche uno dei nuovi limiti (e non più due come nella formulazione pre-riforma dell'art. 2477) ossia: totale dell'attivo dello stato patrimoniale pari a 2.000.000 di euro (e non più 4.400.000 euro come nella formulazione attuale); ricavi delle vendite e delle prestazioni pari a 2.000.0000 di euro (e non più 8.800.000 euro come nella formulazione attuale); ammontare delle unità dipendenti impiegate pari a 10 (e non più 50 unità come nella formulazione attuale). La riforma chiarisce inoltre che: l'obbligo per l'S.r.l. di nominare il revisore (o l'organo di controllo) viene meno quando per tre esercizi consecutivi, la stessa, non superi alcuno dei tre limiti dimensionali indicati al punto precedente; è affidato al Tribunale il compito di nominare il revisore (o l'organo di controllo), ove chi ne abbia interesse ovvero il curatore del Registro delle Imprese segnalino allo stesso che pur sussistendo per l'S.r.l. l'onere di cui sopra, la stessa non vi abbia provveduto "entro il termine in cui l'assemblea è chiamata ad approvare il bilancio in cui vengono superati i limiti di cui ai punti precedenti" (art. 2477 co. 6 c.c.). I criteri sono quindi assai stringenti e più facili da superare in ingresso rispetto all'uscita e sebbene la riforma non sia ancora legge è opportuno fare considerazioni preventive per verificare se si ricade nel nuovo obbligo.

  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
