Comunicazione del Titolare Effettivo al Registro Imprese: pubblicato il primo decreto attuativo


L’articolo 21 del D.lgs. 231/2007 nel testo aggiornato dal D.lgs. 125/2019 pubblicato sulla G.U. 252 del 26 ottobre 2019 prevede: che le imprese dotate di personalità giuridica e le persone giuridiche private tenute all’iscrizione nel Registro delle Imprese, inclusi i Trust, comunichino a quest’ultimo le informazioni relative ai titolari effettivi in via telematica, in esenzione da imposta di bollo, da inserirsi in una apposita sezione del Registro delle Imprese; che le informazioni contenute nella predetta sezione possono essere consultate gratuitamente da autorità preposte al sistema antiriciclaggio, nell’ambito di investigazioni e anche per il contrasto all’evasione fiscale, mentre possono essere consultate dietro pagamento di diritti di segreteria da parte di qualsiasi soggetto. Il comma 5 del sopra richiamato articolo 21 prevede che le modalità per la comunicazione dei dati relativi al titolare effettivo siano contenute in un decreto del Ministero dell’Economia e delle Finanze da emanarsi di concerto con il Ministero dello Sviluppo Economico. Con decreto MIMIT del 12 aprile 2023, sono state approvate le specifiche tecniche del formato elettronico per la comunicazione della titolarità effettiva, il tutto pubblicato nella Gazzetta Ufficiale n. 93 del 20 aprile 2023. Per il completamento dell’iter, si rimane in attesa delle pubblicazioni del Decreto interministeriale sui diritti di segreteria (a firma congiunta di MEF e MiMIT) e del Decreto dei Certificati (a firma MiMIT), per le quali – ad oggi – non ci sono indicazioni rispetto alle tempistiche. Una volta pubblicati in Gazzetta Ufficiale anche questi ultimi decreti, mancherà solo la pubblicazione del Provvedimento che sancirà l’operatività dei sistemi per l’avvio della campagna di comunicazione della titolarità effettiva. Per non farsi trovare impreparati vi ricordiamo che la pratica dovrà essere depositata esclusivamente con firma digitale del legale rappresentante della società oggetto della comunicazione. Non sarà consentita la firma digitale dell’istanza né col sistema “Procura” né con la firma digitale del Professionista incaricato.

The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
